Terms of Service

1. Introduction

Welcome to Grounded Warrior, LLC ("Grounded Warrior," "we," "our," or "us"). These Terms and Conditions (the "Terms") govern your access to and use of all coaching services, programs, courses, digital products, websites, and related materials provided by Grounded Warrior (collectively, the "Services").

By purchasing, enrolling in, or otherwise using our Services, you ("you" or the "Client") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Definitions

• "Coaching" means structured conversations, exercises, and resources intended to support personal development, goal setting, and accountability. Coaching is not therapy, counseling, or medical advice.
• "Content" means all materials we make available, including videos, audio, written guides, worksheets, workbooks, slide decks, files, and graphics.
• "Program" means any bundled or time-bound series of Sessions, courses, or group experiences that we promote under a specific name.
• "Session" means any scheduled 1-on-1 or group meeting, virtual or in person.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract. By using the Services, you warrant that these statements are true.

4. Coaching Relationship

1. Role of Coach

The Coach partners with the Client in a thought-provoking, creative process to inspire self-awareness, clarity, and action. The Coach does not diagnose, treat, or cure mental health conditions.

2. Responsibility for Results

You are solely responsible for your own physical, mental, and emotional well-being, decisions, and actions arising from or related to the Coaching.

3. No Guarantees

Results vary. We make no representations, warranties, or guarantees about any outcomes.

5. Client Responsibilities

• Be honest and open during Sessions.
• Attend Sessions on time and free of distractions.
• Complete agreed-upon exercises and homework.
• Seek professional help from a licensed mental-health or medical provider when needed.
• Refrain from recording Sessions without express written consent.

6. Fees and Payments

1. Pricing

Fees for Programs and Sessions are stated at checkout or in a separate Coaching Agreement.

2. Payment Terms

Unless otherwise agreed, payment is due in full in advance via an approved payment method.

3. Late Payments

Balances more than five (5) days overdue may incur a late fee of 1.5% per month or the maximum rate allowed by law.

4. Taxes

You are responsible for any applicable sales, use, or value-added taxes.

7. Scheduling, Cancellation, and Refund Policy

• Rescheduling. You may reschedule a Session with at least 24-hours' notice without penalty.
• Late Cancellation/No-Show. Cancellations within 24 hours or no-shows forfeit the Session and its fee.
• Program Withdrawal. If you withdraw from a Program within seven (7) calendar days of purchase and before the first Session, you may request a 75% refund. After that period, all sales are final.
• Coach Cancellations. If we must cancel, we will reschedule at a mutually convenient time or refund the unused portion, at our discretion.

8. Confidentiality

We will keep information you share during Sessions confidential except: (a) with your written consent; (b) as required by law; (c) if we reasonably believe there is imminent risk of harm to you or others; or (d) to defend ourselves against claims.

9. Intellectual Property

All Content is our proprietary property. We grant you a limited, non-exclusive, non-transferable license to use Content solely for your personal, non-commercial development. You may not reproduce, distribute, record, or create derivative works without our prior written permission.

10. Disclaimer of Professional Advice

Grounded Warrior and its Coaches are not licensed psychiatrists, psychologists, therapists, medical professionals, or financial advisors. The Services are for educational and self-development purposes only and are not a substitute for professional advice. Always consult qualified professionals for medical, psychological, legal, or financial matters.

11. Limitation of Liability

To the fullest extent permitted by law, Grounded Warrior, its owners, employees, contractors, and agents shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with the Services. In no event shall our aggregate liability exceed the amount you paid for the Services that gave rise to the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Grounded Warrior and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, breach of these Terms, or violation of any law or the rights of a third party.

13. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated by reference. By using the Services, you consent to such processing.

14. Testimonials and Marketing

You grant us permission to use anonymous excerpts of your feedback or testimonials for marketing, provided we do not disclose your full name or identifying details without your explicit consent.

15. Third-Party Services

The Services may contain links to or integrations with third-party platforms (e.g., Zoom, payment processors). We are not responsible for their content, terms, or privacy practices.

16. Force Majeure

We are not liable for delays or failure to perform caused by events beyond our reasonable control, including acts of God, pandemic, governmental actions, labor disputes, or internet outages.

17. Modifications to Terms

We may update these Terms at any time. Material changes will be posted on our website and become effective 14 days after posting. Your continued use of the Services after that date constitutes acceptance of the revised Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Colorado, U.S.A., without regard to its conflict-of-law principles. Any dispute shall be resolved through binding arbitration in Denver County, Colorado, under the rules of the American Arbitration Association. Judgment on the award may be entered in any court of competent jurisdiction.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force.

20. Entire Agreement

These Terms, together with any Coaching Agreement or Policies referenced herein, constitute the entire agreement between you and Grounded Warrior and supersede all prior discussions, agreements, or understandings.
